Die Niederlassungsfreiheit ist ein europäisches Grundrecht. Es ermöglicht Gesellschaften ihre Hauptniederlassung in jedes Staatsgebiet eines Mitgliedstaates zu verlegen und Agenturen, Zweigniederlassungen oder Tochtergesellschaften zu gründen.

Nach der im deutschen Gesellschaftsrecht vorherrschenden Sitztheorie richtet sich die Bestimmung des Gesellschaftsstatuts nach dem Ort, an welchem die Gesellschaft ihren tatsächlichen Verwaltungssitz hat. Im Gegensatz dazu steht die Gründungstheorie, nach der sich die Bestimmung des Gesellschaftsstatuts ausschließlich nach dem Ort der Gründung der Gesellschaft richtet.

Der EugH erklärte in dem Fall „Daily Mail“ die nationalen Rechtsordnungen des Gründungsstaates für die Existenz der Gesellschaft als maßgeblich und Wegzugsbeschränkungen für zulässig. In dem Fall „Centros“ hat der EuGH entschieden, dass es gegen die Niederlassungsfreiheit verstößt, wenn ein Zuzugsstaat die Eintragung einer Tochtergesellschaft verweigert, auch wenn diese nationale Beschränkungen umgeht. In dem Fall „Überseering“ entschied der EuGH, dass jede Gesellschaft, die ihren Satzungs- und Verwaltungssitz in einen anderen Staat verlegt, ihre volle Rechts- und Parteifähigkeit beibehält. Dies wurde durch das Urteil im Fall „Inspire artwork“ bekräftigt, da jede Gesellschaft, die nach ausländischem Recht ordnungsgemäß gegründet wurden, im Zuzugsstaat genauso wie im Gründungsstaat behandelt werden muss und die Anerkennung nicht durch strengere gesellschaftsrechtliche Regelungen abhängig gemacht werden darf.

Damit verstoßen staatliche Zuzugsbeschränkungen gegen die Niederlassungsfreiheit, Wegzugsbeschränkungen sind aber weiterhin zulässig. Ob die Möglichkeit eines Umzugs besteht, richtet sich nach dem Recht des Wegzugstaates.

Damit läßt sich feststellen, dass die Sitztheorie in Deutschland nur noch für den Wegzug, in Deutschland gegründeten Gesellschaften, anwendbar ist. Im Zuzugsfall ausländischer Gesellschaften nach Deutschland ist hingegen die Gründungstheorie anzuwenden.
